These Terms and Conditions (“Terms”) govern your access to and use of the Udaanix website, mobile applications, and related services (collectively, the “Platform”), operated by Udaanix (“Udaanix,” “we,” “us,” or “our”).

Udaanix provides access to multiple professional counselors across educational streams for academic guidance, career counseling, assessments, mentoring sessions, and related learning services, which may be offered on a paid or unpaid basis.

By accessing or using the Platform, creating an account, booking a session, or purchasing services, you agree to be legally bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.

  1. Definitions

“User” refers to any student, learner, parent, guardian, counselor, educator, or visitor using the Platform.

“Student” refers to any learner or individual seeking educational or career guidance.

“Counselor” refers to independent professionals offering guidance services through the Platform.

“Content” includes all text, videos, assessments, materials, sessions, data, tools, and information available on the Platform.

“Services” refers to counseling sessions, guidance programs, assessments, mentoring, subscriptions, free resources, and any other offerings made available by Udaanix.

  1. Eligibility and Account Registration

2.1 Students and Users

  • If you are under 18 years of age, you must have the consent and supervision of a parent or legal guardian.
  • You agree to provide accurate, complete, and current information during registration and to keep your account information updated.

2.2 Counselors

  • Counselors must be legally eligible to provide educational or career guidance services under applicable laws.
  • Counselors represent and warrant that all qualifications, certifications, experience, and credentials submitted to Udaanix are accurate, current, and truthful.
  • Udaanix reserves the right to verify counselor credentials and to suspend or remove counselors at its sole discretion.

You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted through your account.

  1. Nature of Services
  • Udaanix is a technology-enabled platform that connects students with counselors and provides structured guidance tools, assessments, learning resources, and career exploration services.
  • Udaanix does not guarantee admission to any institution, scholarships, employment, visa approvals, salary outcomes, or career success.
  • All guidance is advisory and informational in nature and should not be considered legal, medical, financial, or psychological advice unless explicitly stated.
  • Counselors act as independent professionals, not as employees or agents of Udaanix.
  1. User Responsibilities and Acceptable Use

You agree that you will:

  • Use the Platform only for lawful, ethical, and personal purposes.
  • Provide truthful information during assessments and counseling sessions.
  • Respect counselors, staff, and other users.
  • Comply with all applicable laws, regulations, and these Terms.

You agree not to:

  • Copy, reproduce, distribute, sell, sublicense, or commercially exploit any Content without written authorization.
  • Misrepresent your identity or impersonate another person.
  • Harass, abuse, threaten, defame, or otherwise harm others.
  • Upload malware, spam, or malicious code.
  • Attempt to bypass security features or interfere with the Platform’s operations.

Udaanix reserves the right to suspend or terminate accounts that violate these standards.

  1. Student Conduct

Students agree that they will:

  • Engage honestly and respectfully in counseling sessions and assessments.
  • Use guidance and reports solely for personal educational and career development.
  • Not misuse or manipulate reports, results, or recommendations for fraudulent, misleading, or commercial purposes.

Udaanix may suspend or terminate student access for misconduct or misuse.

  1. Counselor Conduct

Counselors agree that they will:

  • Provide services ethically, professionally, and in the best interests of students.
  • Maintain confidentiality and professional boundaries.
  • Avoid misleading claims, guarantees of outcomes, or false representations.
  • Comply with all applicable professional standards, licensing laws, and codes of conduct.

Counselors must not:

  • Solicit users outside the Platform without explicit permission.
  • Share, sell, or misuse student data or Content.
  • Use the Platform for competitive, exploitative, or unauthorized purposes.

Violation may result in immediate suspension, termination, and legal action.

  1. Content Ownership and Intellectual Property

All Platform Content, including software, designs, trademarks, logos, text, videos, assessments, and materials, is owned by or licensed to Udaanix and is protected by intellectual property laws.

Udaanix grants you a limited, personal, non-exclusive, non-transferable, and revocable license to access and use the Platform for non-commercial purposes.

You may not copy, modify, distribute, sell, sublicense, reverse engineer, or create derivative works from any Content without prior written consent.

Counselors retain ownership of original materials they create but grant Udaanix a worldwide, royalty-free license to host, distribute, display, and use such materials on the Platform.

  1. Payments, Subscriptions, and Refunds

8.1 Paid Services

Certain Services may require payment, including counseling sessions, packages, subscriptions, or premium resources. Prices, billing cycles, and features will be disclosed before purchase.

By making a purchase, you authorize Udaanix (and its payment processors) to charge your selected payment method.

8.2 Refunds and Cancellations

  • Refund eligibility, cancellation windows, and rescheduling policies will be displayed at checkout or within the applicable service description.
  • Missed sessions without timely cancellation may be marked as completed and non-refundable.
  • Udaanix reserves the right to modify pricing, promotions, and refund policies at any time, subject to applicable law.
  1. Free Services and Promotional Access

Udaanix may offer free sessions, trials, assessments, or promotional access. Such offerings may be modified, limited, or withdrawn at any time without liability.

Free access does not guarantee continued availability of any feature or counselor.

  1. Third-Party Services and External Links

The Platform may contain links to third-party websites, tools, or services. Udaanix does not control and is not responsible for the content, policies, or practices of third parties.

Your interactions with third parties are solely between you and them, and Udaanix disclaims all liability arising from such interactions.

  1. Data Protection and Privacy

Udaanix processes personal data in accordance with its Privacy Policy, applicable Indian data protection laws (including the Information Technology Act, 2000 and related rules), and where applicable, the General Data Protection Regulation (GDPR).

Depending on your location, you may have rights to:

  • Access, correct, or delete your personal data
  • Restrict or object to processing
  • Withdraw consent
  • Request data portability

Udaanix does not sell personal data. Data may be shared only with authorized service providers under confidentiality and security obligations.

  1. Confidentiality

All counseling sessions, assessments, and communications are treated as confidential, subject to:

  • User consent
  • Legal obligations
  • Safety concerns

Udaanix does not guarantee absolute confidentiality in cases where disclosure is required by law or necessary to prevent harm.

  1. Disclaimer of Warranties

The Platform and Services are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, Udaanix disclaims all warranties, express or implied, including warranties of accuracy, reliability, merchantability, fitness for a particular purpose, and non-infringement.

Udaanix does not warrant that:

  • Services will meet your expectations
  • Content will be error-free or uninterrupted
  • Any specific educational, admission, employment, or career outcomes will result
  1. Limitation of Liability

To the maximum extent permitted by law, Udaanix, its directors, officers, employees, partners, counselors, affiliates, and licensors shall not be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of data, profits, business, opportunities, or reputation
  • Decisions or actions taken based on counseling, assessments, or Content

Udaanix’s total liability for any claim shall not exceed the amount paid by you (if any) for the Services giving rise to the claim.

  1. Indemnification

You agree to indemnify, defend, and hold harmless Udaanix, its officers, directors, employees, contractors, counselors, affiliates, and partners from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of:

  • Your use of or access to the Platform
  • Your violation of these Terms
  • Your violation of any applicable law or third-party rights
  1. Account Suspension and Termination

Udaanix may suspend, restrict, or terminate your account, access, or Services at any time, with or without notice, if:

  • You violate these Terms or policies
  • You engage in fraud, abuse, or misconduct
  • Your conduct risks harm to other users, counselors, or the Platform

Upon termination, your right to use the Platform ceases immediately. Certain provisions (including intellectual property, liability, indemnification, and dispute resolution) will survive termination.

  1. Modifications to the Platform and Terms

Udaanix may modify, suspend, or discontinue any part of the Platform or Services at any time.

We may update these Terms periodically. Continued use of the Platform after changes constitutes acceptance of the revised Terms. The “Last Updated” date reflects the latest version.

  1. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.

Subject to applicable consumer protection laws, courts located in India shall have exclusive jurisdiction over disputes arising from or relating to these Terms or the Platform.

For users residing outside India, mandatory consumer protection rights under local laws remain unaffected.

  1. Dispute Resolution

Before initiating any legal action, you agree to first attempt to resolve disputes informally by contacting Udaanix through the contact details provided below. We will make reasonable efforts to resolve disputes promptly and fairly.

Nothing in this section limits your statutory rights under applicable consumer protection laws.

  1. Assignment

You may not assign, transfer, or sublicense your rights or obligations under these Terms without prior written consent from Udaanix. Any attempted assignment in violation of this provision shall be void.

Udaanix may assign or transfer these Terms, in whole or in part, without restriction.

  1. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect.

  1. Waiver

Failure by Udaanix to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Udaanix in writing.

  1. Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, and any additional guidelines or policies referenced on the Platform, constitute the entire agreement between you and Udaanix regarding your use of the Platform and supersede all prior agreements or understandings.

  1. Survival

Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law shall survive termination or expiration of these Terms.
